John Irwin John P. Irwin John Irwin represents fund managers, other investors, and business people in: venture capital and other private equity investments; joint ventures, formation of private investment funds and other pooled investment structures; commercial contracts and licensing; and regulation of investment advisers. Much of his 25 years’ experience as a business lawyer has involved international transactions, primarily in India, Africa, and Mexico. From 2014-2017, he has been a guest lecturer in the University of Pennsylvania Law School’s Emerging Markets Private Equity Class, led by Professor Stephen Sammut, teaching “Key Legal Topics in Emerging Markets Private Equity.” He worked in the corporate and tax departments of Debevoise & Plimpton from 1990 to 1996. He holds a B.A. from Williams College and a J.D. from the Yale Law School.

Abe Hsuan A Borhan Hsuan A. Borhan (“Abe”) Hsuan is Co-Founder and Partner of Irwin & Hsuan LLP.  As a generalist corporate lawyer, Abe has held top legal positions at major online and traditional media companies (including at Oxygen Media as SVP Legal & Business Affairs, LinkShare as General Counsel) as well as a multi-national early-stage venture fund/incubator (VennWorks as Managing Director).  He began his legal career at the international law firm of Debevoise & Plimpton where he was a senior corporate associate focusing on intellectual property/technology, leveraged finance, cross-border JV and M&A transactions.  Drawing from this broad base of experience and expertise, he helps a wide range of U.S. and non-U.S. corporate, not-for-profit, investment and fund clients across four continents (ranging from tech, big data/AI, food and fashion startups to public media companies, individual investors to private equity, family offices and large foundations).  He excels at representing small underdog clients negotiate against large company legal departments and large law firms, on-shoring non-US businesses, providing tactical and strategic advice in the areas of fund-raising, marketing, scaling corporate and operational processes, positioning for M&A exit, data, tech and privacy matters, executives hire or exits and shareholder buyouts, as well as advising on litigation (and litigation-avoidance) strategies.  Seven of the SMB and startup clients he performed “outside” general counsel work for have exited in sales to public companies.  Investments he has led and funds he has helped form have funded social impact, emerging market and early stage ventures in the North America, Latin America, Eastern Africa, India and neighboring South Asian countries as well as Southeast Asia and China.  He has led the business affairs and legal work on several television series productions including an Emmy-nominated series on Netflix and upcoming series on other SVOD services, as well as a wide range of movie, talent, publishing, and video game deals.  Abe has also held key business and tech-oriented positions including being the EVP in charge of network affiliates and tech/customer support for LinkShare (now Rakuten Marketing) and as a Managing Director in charge of strategic alliances at VennWorks, a venture fund and incubator with its origins in Wolfensohn & Co.  He was a principal founder and CEO of two artificial intelligence startups (one funded, one bootstrapped) that developed big data and natural language processing tools and provided AI consulting services to news organizations and other media businesses, and has served as an advisor for several European Union-funded projects in the fields of artificial intelligence, data-mining and text-mining, such as the xLike Project, an EU-funded scientific research project on cross-lingual media monitoring and machine translation as well as, currently, commerce and education-related projects.  He has spoken widely on the intersection of law and Big Data in the areas of privacy, copyright, and online education, including as a keynote at the 2011 European Semantic Web Conference.  His talks can be found at Videolectures.net.   Abe has been a member of the Association of Corporate Counsel (serving on its Technology Committee), the International Trademark Association, the American Intellectual Property Law Association.  He was honored by the New York County Lawyers’ Association in 2005 as a celebrated lawyer of color.   He  received an A.B. degree from Princeton University and a J.D. from New York University School of Law.
